1. Acceptance of These Terms

These terms form a binding agreement between you and Peak Maintenance Pros Llc, referred to in this document as the Company. The agreement takes effect when you first use the website, when you send a message to the desk or when you accept a work order by telephone or in writing, whichever happens first.

If you use the website on behalf of a company, a partnership or another organisation, you confirm that you have authority to bind that organisation to these terms. If you do not have that authority, you must not accept a work order on that organisation behalf.

If you do not agree with these terms, you should stop using the website and should not book a round. The Company would rather answer a question before a booking than argue about terms after a visit, so any doubt can be raised with the desk at any time.

A client who signs a separate service agreement with the Company will find that agreement takes precedence over these terms where the two conflict. These terms fill the gaps that a short service agreement leaves open, and they apply to every visitor whether or not a separate agreement exists.

2. Definitions

In these terms, the Company means Peak Maintenance Pros Llc. The depot means the office at 1550 S 1000 E Apt 1804, Clearfield - 84015-1669, United States (US). The website means the pages published at https://www.peakmaintenance.buzz. A client means a person or organisation that has booked a round. A site means the building or buildings at which a round is performed.

A work order means the record opened at the desk for a piece of work, carrying a bay number, an owner and a closing signature. An inspection sheet means the printed route sheet carried during a visit. A key log means the paper record of key rings signed out and returned at the desk. A round means one of the six services described on the services page.

Business hours means the hours published on the contact page, currently Monday to Thursday from 8:00 to 17:00, Friday from 8:00 to 15:00, with Saturday runs by arrangement. A seasonal check window means the spring or autumn period when seasonal checks are booked. Content means text, images, layout, code and other material published on the website.

Writing includes email and any message sent through the contact form. Signed includes a handwritten signature on a paper sheet and an acceptance sent by email where both parties have agreed to work that way.

3. Use of the Website

The website is provided so that a visitor can read about the Company, understand the six rounds and contact the desk. You may browse the pages, print a page for your own reference and share a link with a colleague who may be interested in the services.

You must not attempt to interfere with the operation of the website, probe it for vulnerabilities without written permission, insert malicious code, send automated requests at a volume that degrades service or use the site in a way that breaches applicable law. Security research is welcome where it is reported responsibly to the desk before any public disclosure.

You must not copy the design, layout or code of the website for a competing site, and you must not remove a notice of ownership where one appears. The site is protected by copyright and other rights described in the intellectual property section.

The Company may change, suspend or withdraw any part of the website at any time. The Company does not promise that the site will be available without interruption and does not promise that every page will remain at the same address, although it will try to keep the main pages stable and will not redirect a link to an unrelated destination.

4. The Maintenance Rounds

The Company offers six rounds: Work Order Bays, Inspection Sheet Runs, Key Log Desks, Seasonal Check Windows, Filter Change Reviews and Walkthrough Sittings. The services page describes each round in detail, and the description on that page forms part of these terms by reference.

A client may book one round or all six. The rounds are designed to work together, and the Company will explain at a first sitting which rounds are appropriate for a particular site. A round is not a guarantee that a building will never fail, because no maintenance programme can promise that; a round is a disciplined attempt to find faults early and to keep a written history.

Where a client asks for a task outside the six rounds, the Company may offer it as an additional work order. Such work is quoted separately and is not included in the price of a round unless the quotation says so in writing. The Company will not quietly extend the scope of a round to include extra work without the client agreeing to the additional cost first.

The rounds are performed by technicians who follow the written sheet for the site. A technician may decline to perform a task where doing so would be unsafe, where the task requires a licence the Company does not hold or where the equipment is not in a condition to be worked on safely. Any such decision is recorded on the work order with the reason.

5. Work Orders and Scheduling

Every piece of work begins with a work order opened at the desk while the request is still being taken. The work order records the request in the words used by the client, the site and the equipment involved, the bay in which the work will be done and the technician who owns it. A client who has not received a bay number within one business day should contact the desk, because a request without a bay number has not been properly opened.

Scheduling is agreed with the client and confirmed in writing. Inspection runs are normally booked before opening or after closing, and seasonal check windows are reserved on the depot calendar once a sitting has confirmed the dates. The Company will make reasonable efforts to accommodate a preferred time, but availability depends on the route and on the equipment needed for the visit.

A work order moves through three states: open, waiting on parts and ready for handover. The client is told which state applies when the state changes in a way that affects the expected completion date. When a bay waits on a part, the expected date is recorded together with a fallback plan, and the client is not left to guess when the visit will resume.

The work order is closed only when a technician has signed the closing note and the client has been told what changed. A bay that cannot be closed because a fault remains open stays on the board and is reviewed each morning until it is resolved or the client decides to leave it.

6. Client Responsibilities

A successful round depends on the client as much as on the Company. The client is responsible for giving access to the site, for telling the Company about hazards that a technician needs to know, and for keeping the equipment in a condition that can be worked on without risk.

  • Provide accurate information about the site, its systems and any known faults.
  • Nominate a contact who can authorise work and answer questions during the visit.
  • Ensure that the areas to be inspected are reachable and that stored goods do not block access panels.
  • Disclose any asbestos, chemical, electrical or structural hazard known to the client.
  • Tell the Company when a lock, code or access arrangement changes.
  • Keep the paperwork that the Company leaves at the site, including the copy of each inspection sheet.
  • Pay invoices in accordance with the payment terms in this document.

Where a client fails to meet a responsibility and the visit has to be shortened or rescheduled as a result, the Company may charge for the time spent on site and for the journey. The charge will be explained in the work order and will never exceed the value of the work that could reasonably have been performed.

The client is responsible for any damage caused by information that was withheld or that was inaccurate. The Company will still try to resolve the matter fairly, and will not use this clause to avoid a genuine failure of its own workmanship.

7. Site Access and Keys

Keys are handled through the key log desk. A ring leaves the cabinet against a signature and returns against the same signature, and a ring that has not been returned by the close of the visit is reported to the client the same day. The Company does not keep copies of client keys at the depot unless the client has agreed in writing that a copy may be held for scheduled visits.

Where an electronic access system is used, the client must provide credentials or card access for the technician and must remove that access when the round ends. The Company will remind the client at the end of each round, but the duty to remove access belongs to the client.

A technician will not force a door, climb a locked fence or enter an area that is marked as restricted without the client explicit permission. Where a visit cannot proceed because access is not available, the technician will wait for a reasonable period, record the attempt on the work order and leave. A waiting period longer than thirty minutes may be charged as time on site.

The Company treats access information as confidential and does not share a code, a key or a card with another client. A subcontractor who needs access receives it for a named visit and returns it at the end of that visit under the same key log discipline.

8. Fees, Invoicing and Payment

Fees are quoted for each round before the work is booked. A quotation states the price of the round, any travel charge, the expected duration and the price of parts where parts are known in advance. A quotation remains open for thirty days unless it says otherwise.

Invoices are issued at the close of a round or at the end of a month for a client on a recurring arrangement. Payment is due within thirty days of the invoice date unless a separate agreement provides another period. Payment may be made by the method shown on the invoice.

The Company may charge interest on an overdue amount at the rate permitted by law, calculated from the day after the due date. The Company will not add a charge that is not disclosed on the invoice, and will discuss a payment difficulty with a client who contacts the desk before the due date rather than after it.

Prices may change from one season to the next. The Company will give at least thirty days notice of a price change that affects a recurring arrangement, and a change never applies to work that has already been quoted and accepted.

A client who disputes an invoice should contact the desk within fourteen days of the invoice date with the reason for the dispute. The Company will review the work order and reply in writing. Undisputed parts of an invoice remain payable on the normal terms while a dispute is under review.

9. Cancellation and Rescheduling

A client may reschedule a round at no charge with at least two business days notice. A shorter notice may attract a charge for the journey and for the technician time reserved, because a reserved slot is difficult to fill at short notice.

A seasonal check window is a short period with limited slots. A cancellation inside seven days of a window booking may be charged at fifty percent of the quoted fee, and a cancellation on the day of the visit may be charged in full. The Company will always consider a genuine emergency and may waive a charge where the reason is beyond the client control.

The Company may reschedule a visit where weather, site safety or the availability of a specialist part makes the visit impractical. The Company will give as much notice as it can and will offer the next available slot. A rescheduling by the Company does not attract a charge to the client.

A client may cancel a recurring arrangement at any time with thirty days written notice. Work completed before the notice takes effect remains payable, and any keys or access cards held by the Company are returned at the close of the final visit.

10. Workmanship and Warranty

The Company warrants that work is performed with reasonable skill and care, in accordance with the written sheet for the site and with the standards that a competent maintenance contractor would apply. Where a part is supplied by the Company, the Company passes on the manufacturer warranty and supports a claim in a reasonable way.

Where a fault appears in work performed by the Company within thirty days of the closing signature, the client should contact the desk with the work order number. The Company will inspect the fault and, where it results from the workmanship, correct it at no additional charge.

The warranty does not cover damage caused by a third party, by misuse, by a change made by the client to a system that the Company installed, by a power event outside the control of the Company or by a fault that the client was told about and chose not to address. The warranty also does not extend the life of equipment that is already beyond its service life.

A client who uses another contractor to correct work that the Company performed may end the warranty for that work unless the Company was first given a reasonable opportunity to inspect and correct it. The Company will always try to arrange an inspection quickly so that the client is not left waiting.

11. Limits of the Rounds

A maintenance round is a scheduled inspection and service, not a building surveyor report, an engineering certification or a structural assessment. The six rounds do not replace the inspections required by a regulator, nor do they certify compliance with a code. Where a client needs a certificate, the Company will say which specialist is required.

An inspection sheet records what was seen on the day of the visit. It does not promise that every hidden defect was found, because a hidden defect is by definition concealed. The sheet is a record of a diligent pass along a defined route, and its value lies in the history that repeated passes create.

The Company does not operate as an emergency response service outside business hours unless a client has arranged an emergency access agreement. A call made outside business hours is logged and returned on the next working day unless an arrangement says otherwise.

The Company does not take responsibility for equipment that a client has chosen not to replace after being told that it is at the end of its life. Where a client declines a recommended replacement, the decision is recorded on the work order so that the position is clear to both parties.

12. Limitation of Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or for any other liability that the law does not permit to be limited. Subject to that, the following limits apply to the arrangement between the Company and the client.

The Company is not liable for loss of profit, loss of revenue, loss of business opportunity, loss of goodwill or any indirect or consequential loss arising from a round or from the use of the website. The Company is not liable for a fault that the rounds were not designed to detect or for a loss caused by a client decision recorded on the work order.

Where liability is not otherwise excluded, the total liability of the Company for a claim arising from a round is limited to the fee paid for that round, or to the fee for one year of the recurring arrangement, whichever is greater. Where a claim arises from the use of the website, the total liability is limited to one hundred United States dollars.

The client is responsible for insuring the building and its contents. The Company holds public liability insurance appropriate to the work it performs and will provide evidence of cover to a client who asks. The existence of insurance does not extend a limit that is set in this section.

13. Indemnity

The client agrees to indemnify the Company against a claim, loss or expense that arises from information supplied by the client that was inaccurate, from the client failure to disclose a hazard, or from the client use of a site in breach of a law or of a third party right.

The Company agrees to indemnify the client against a claim that work performed by the Company infringed the intellectual property of a third party, provided that the client notified the Company promptly and allowed the Company to conduct the response. The Company may at its option replace the affected work or settle the claim.

An indemnity under this section applies only to the extent that the loss was caused by the indemnifying party and is not recoverable from an insurer. A party seeking an indemnity must take reasonable steps to reduce the loss and must not make an admission of liability without the consent of the other party.

14. Intellectual Property

All content on the website is owned by the Company or used under a licence. The content includes the design of the tool shed bay, the toolwallboard navigation, the step ladder scene, the inspection sheet layout and the key cabinet footer, together with the text of every page. These elements are protected by copyright and may not be reproduced without written permission.

A client receives a licence to use the inspection sheets and key log records that relate to that client site, for the purpose of managing the site. The licence does not permit the client to publish the material as a template or to sell it to another party.

The Company retains ownership of its own working documents, standards and internal notes. A client may ask for a copy of the records that concern the client site, and the Company will provide a copy in a readable format, subject only to the protection of information about other people.

Any feedback, suggestion or improvement offered by a client may be used by the Company without obligation, provided that the Company does not disclose the identity of the client or the confidential details of the site in doing so.

15. Confidentiality

Each party may receive information about the other that is not public. The Company may learn about the layout, systems, keys and security arrangements of a site. The client may learn about the methods, pricing and internal records of the Company. Both parties agree to keep such information confidential and to use it only for the purpose of the arrangement.

Confidentiality does not apply to information that is already public, that is independently developed without reference to the other party, that is received lawfully from a third party or that must be disclosed by law. Where disclosure is required by law, the party subject to the requirement will give notice to the other party where it is lawful to do so.

The duty of confidentiality continues after the arrangement ends. A technician who leaves the Company remains bound by the duty, and a client contact who moves to another organisation remains bound in respect of information received while acting for the original client.

16. Suspension and Termination

The Company may suspend work where an invoice remains unpaid beyond the agreed terms, where a site is unsafe, where access is persistently refused or where the conduct of a client or a visitor makes it unreasonable to continue. The Company will give written notice of a suspension and a reasonable opportunity to remedy the cause.

Either party may terminate a recurring arrangement with thirty days written notice. Termination does not affect a work order already accepted, which continues until it is closed or cancelled under the cancellation section. Any keys or access cards held by the Company are returned at the final visit.

The Company may end an arrangement immediately where a client has provided false information, has exposed a technician to a concealed hazard, has attempted to obtain a service by deception or has behaved in a way that makes a safe and respectful working relationship impossible. In that case, the client pays for work completed up to the date of termination.

On termination, the Company returns the client records that belong to the client and retains the working copies allowed by the privacy policy. The duty of confidentiality and the sections on liability and intellectual property survive the end of the arrangement.

17. Events Beyond Control

Neither party is liable for a delay or failure caused by an event beyond its reasonable control. Such events include severe weather, wildfire and smoke, floods, earthquake, public health restrictions, failure of public utilities, a network outage and a lawful order of a public authority.

The affected party will tell the other as soon as it can and will make reasonable efforts to reduce the delay. Where a visit cannot take place because of such an event, the visit is rescheduled and no cancellation charge applies.

If an event continues for more than sixty days, either party may end the affected work order without penalty, and the client pays only for work that was actually performed and for parts that were ordered specifically for the site.

18. Governing Law and Disputes

These terms are governed by the laws of the State of Utah and the federal laws of the United States that apply in that state. The parties submit to the non exclusive jurisdiction of the courts of that state for a dispute that cannot be resolved by discussion.

Before starting a formal claim, the parties will attempt to resolve the matter in good faith. The first step is a written notice from the party raising the matter, describing the issue and the outcome sought. The other party will reply within fourteen days.

The second step is a meeting at the depot, or by telephone where a meeting is impractical, attended by a person with authority to settle. Many disputes dissolve at this stage because the work order and the inspection sheet usually show what actually happened.

If a dispute is not resolved within thirty days of the first notice, either party may pursue the matter through mediation or litigation. Nothing in this section prevents a party from seeking urgent relief from a court where delay would cause harm.

19. General Provisions

These terms, together with the privacy policy and any accepted quotation or service agreement, form the entire agreement between the parties. A statement made before the agreement, whether in a conversation or in a message, does not form part of the agreement unless it is repeated in writing and accepted by both parties.

If a provision of these terms is found to be invalid or unenforceable, the rest of the terms continue in full force, and the invalid provision is replaced by a valid provision that comes closest to its purpose.

A failure to exercise a right does not waive that right. A waiver is effective only where it is given in writing and signed by the party granting it. A waiver on one occasion does not apply to a later occasion.

A client may not transfer the agreement to another person without the written consent of the Company. The Company may transfer the agreement to a successor business that continues the practice, provided that the successor agrees to honour these terms.

Where a notice must be given, it may be sent by email to the address used for the arrangement, or by letter to the address of the receiving party. A notice is received on the next business day after sending where it is sent by email during business hours and on the second business day where it is sent by post.

These terms are written in English and are published in English only. Any translation offered for convenience has no legal effect where it differs from the English text. The Company may update these terms from time to time, and the version in force at the date of a work order governs that work order.

20. Contact Details

Questions about these terms may be sent to the desk. A written question is preferred because it creates a record that both parties can rely on, and the desk will reply within five business days.
